Unless otherwise specified in the purchase order, in the applicable specifications or in other documentation explicitly referred to in the order, the following requirements apply:
1. Delivery terms
The delivery terms expressly indicated in the Order or tacitly accepted by the Supplier are binding on the latter. In the event of force majeure, the Supplier, if the confirmed deadlines cannot be met, even for a single part of the order, must promptly inform Finat in writing.
2. Order confirmation
To be entitled to payment of the consideration, the Supplier must sign the Order Confirmation received from Finat for acceptance.
3. Declaration of Conformity (CoC) and traceability
3.1 The Supplier must guarantee complete traceability of the production batch at the simple request of Finat. The Supplier is obliged to attach the Certificate of Conformity („CoC“) to the shipment (packed with the goods) for each item ordered. The certificate must contain: 1. Supplier’s company name and address; 2. Finat’s company name and address; 3. Finat purchase order number; 4. Supplier’s P/N (product number); 5. Index or revision; 6. P/N (product) description; 7. Batch number or lot number or serial number, as appropriate; 8. Quantity delivered; 9. Declaration that the delivered items comply with the technical specifications indicated in the Order, and after verification and final inspection, they fully meet the specific requirements, documentation, standards and requirements prescribed in the pro-tempore regulations in force; 10. CoC issue date; 11. Name, function and signature of the authorized quality control representative.
3.2 In the event that the CoC is missing (or other documentation certifying the conformity of the product that may be required in the purchase order), Finat will have the right to return the shipped goods and/or perform the necessary quality verification tests, charging the related costs to the Supplier, as well as to suspend payment of the consideration for the delivered goods until verification of the existence of conformity.
3.3 If the Supplier is not the manufacturer, a copy of the original certificate of the latter must be attached to the Supplier’s declaration, including a copy of the CoCs from any third parties who brokered the product supplied to Finat.
Under no circumstances may the Supplier modify the content of the original manufacturer’s CoC.
4. Shelf Life and Limited Life Items
Items must be supplied with a residual commercial life of at least 80%, unless otherwise indicated by Finat.
5. Guarantee of good operation
Finat may always lodge a complaint relating to defects in the goods at any time following the discovery of the same by the Supplier’s Personnel.
6. Supplier Personnel
6.1 Personnel performing work affecting safety and compliance with the requirements of the supplied product must have all the skills, as well as the training requirements to carry out said activity, in addition to the adequate experience gained following suitable company training for this purpose. The Supplier must maintain the required level of competence and training of all personnel involved in the production of the products ordered by Finat. At Finat’s request, the Supplier must demonstrate the existence of these personnel requirements, and if it does not document this level of competence, Finat may suspend payment, as well as terminate the contract and request the return of any amount already paid.
6.2 The Supplier’s personnel must be adequately informed about their role in the production of goods that comply with the relevant legislation and that meet all safety requirements. Furthermore, they must be aware of the importance of maintaining ethically correct behavior. Suppliers are required to ensure product safety and comply with standard practices, as well as to produce goods that meet all the requirements for all the goods supplied, with particular attention to those defined as „critical“ and which have special characteristics or requirements. Suppliers also undertake to follow ethically correct models of conduct, respecting both the internal regulations of the company and those adopted in their market sector.
7. Quality Management System
Based on the product or service to be provided, the Supplier’s Quality Management System must mandatorily meet all the requirements of the ISO 9001 or AS9100/EN9100 standards, applicable and according to the latest edition available.
8. Production based on drawings or specifications or models
Models, specifications or intellectual property of Finat’s customers or their licensors may not be copied by the Supplier or passed on to other persons and may not be used by the Supplier or its sub-suppliers for any purpose other than the execution of the supply order, otherwise Finat shall be entitled to suspend payment of the consideration and claim damages from Finat, including any damages claimed by Finat’s customer for which the Supplier shall be considered as guarantor, and shall be obliged to indemnify Finat for any damage suffered by Finat as a result of Finat’s failure to comply with this article.
9. Patented production supplies
By accepting the Order, the Supplier assumes full responsibility with respect to Finat that the materials supplied have not been and will not be produced in violation of any patent rights or licences of third parties and guarantees Finat full ownership of them and legitimacy for their use, permitting their availability for trade both in Italy and abroad.
10. Counterfeit parts
In the case of the supply of specific products, particularly in the aerospace sector, the vendor/supplier must set up and comply with a prevention process to prevent the delivery of counterfeit materials. The purpose of such a process shall be to develop procedures to prevent the delivery of counterfeit products or parts thereof and, in the event that counterfeit or suspect goods are detected, to ensure that they are not introduced into the market and thus excluded from the supply chain.
11. Concession requests
All changes from the requirements/specifications of the delivered product must be communicated to Finat in writing prior to shipment, even if approved/allowed by the Customer or Finat and expressly accepted by Finat.
Shipment will remain pending until Finat informs the Supplier in writing how to proceed.
12. Change Management
If the product characteristics, production processes, main suppliers, factories or production facilities have undergone changes that may affect the product supplied under the last Order, Finat must be informed in writing prior to shipment. The Supplier shall proceed with shipment only after written approval by Finat.
13. Right of access on product conformity
Representatives of Finat, its Clients and the competent authorities shall have the right to access all the facilities of the Suppliers and any sub-Suppliers involved in the Order and all applicable records in order to verify any aspect of the supply’s compliance with quality, design and/or contractual requirements also in relation to the required standards and certifications. This investigation does not exclude the Supplier’s liability also in the event of production by third parties that have supplied even only parts of the goods, of delivery outside the terms indicated in the Order itself and in compliance with the requirements indicated. The results of the inspection do not exclude the Supplier’s liability in the event that the products do not conform to the Order or do not comply with the applicable regulations and recognised product standards.
14. Sub-Suppliers
The requirements stated in the order and in any documents supplementing the supply, applicable to sub-suppliers, must be fulfilled by the Supplier, including the prescribed essential characteristics.
15. Monitoring of Suppliers
Suppliers are periodically evaluated by Finat for both conformity (of product, process and/or service) and punctuality of deliveries. Suppliers that do not meet the required quality standards based on Finat’s exclusive assessment will be informed by Finat to proceed with a correction of the minimum required standards and if they fail to do so will be demoted by identifying them as ‘Not Approved’ Suppliers.
16. Production and control data sheets
Where applicable, the production data sheet must be made available to Finat or its Client upon their simple request.
17. Uniformity of deliveries
The delivered goods specified in the Purchase Order must be made from the same material and in the same work cycle. It shall not be possible to split ordered goods with deliveries at different times without Finat’s prior written approval.
18. Non-conforming product control and post-delivery activities
If the Supplier detects a non-conformity or problems of any kind with the product, even if already delivered, it must immediately notify Finat in writing and then take all appropriate action to resolve the non-conformity. To this end, the Supplier shall have previously implemented a traceability system appropriate to the type of supply.
The Supplier must notify Finat of any non-conformity relating to the product and notify the escapes in accordance with the following terms:
a. Within 7 calendar days in the event of defects affecting the quality or technical characteristics of the products supplied.
b. Within 14 calendar days for other cases.
